General framework
Accessing, browsing or using the Yaripo SpA website implies full acceptance of these Terms. If the user does not agree, they must refrain from using the site and its features.
These Terms are designed to coexist with complementary documents, including the Privacy Policy , the Cookie Policy , any applicable specific commercial conditions and, where applicable, contracts, purchase orders, SOW, SLA or MSA signed with clients.

- Academy: courses, programmes, classes, digital materials, labs and private certifications.
General conditions of use
Access, conduct and basic restrictionsThe user agrees to use the site in a lawful, diligent manner compatible with its commercial and professional nature.
- Users may not attempt unauthorised access to systems, accounts, databases, APIs, integrations, repositories or internal components.
- Users may not conduct abusive scraping, unauthorised crawling, prohibited automated extraction, hostile prompt engineering, or interfere with the availability, stability or security of the site.
- Users may not use the site's content, design, structure or information for unlawful, defamatory, fraudulent or unfair competition purposes.
- Users may not introduce malware, malicious code, harmful instructions or payloads intended to affect the operation of the site or third parties.
Yaripo may restrict, suspend or block access when it detects conduct incompatible with these Terms or applicable law.
Contractual precedence clause
Commercial lex specialisIn the event of discrepancy, contradiction or conflict between these Website Terms and any service contract, accepted proposal, purchase order, statement of work (SOW), service level agreement (SLA), master services agreement (MSA) or equivalent commercial instrument duly executed between Yaripo SpA and a client, the specific document signed between the parties shall prevail with respect to the matter it regulates.
SaaS services, analytics models and artificial intelligence
Support tools, not a guarantee of infallibilityYaripo's technology solutions, algorithms, assistants, predictive modules, classification systems, semantic search engines, AI agents and other products constitute support tools for analysis, automation and decision-making.
The user expressly acknowledges that results generated by artificial intelligence or advanced analytics may be probabilistic, non-deterministic, incomplete, erroneous, outdated or unsuitable for a specific situation .
- Yaripo does not guarantee absolute accuracy, absence of bias, full continuity, or specific business outcomes.
- Validation of critical outputs is the responsibility of the user or client, particularly in regulatory, financial, operational, industrial or security contexts.
- Yaripo's products do not replace human professional judgment, technical validation, legal review, compliance assessment or executive approval.
Consulting services
Best-efforts obligations, not guaranteed outcomesThe consulting, advisory, audit, assessment, architecture design, data governance, privacy, FinOps optimisation, AI strategy, analytics enablement and executive support services provided by Yaripo constitute, unless otherwise agreed in writing, best-efforts obligations .
- Recommendations, roadmaps, estimates or hypotheses regarding savings, efficiency or impact depend on factors outside Yaripo's exclusive control.
- Technical, operational, organisational and final compliance implementation lies with the client, its internal team or its mandated third parties.
- Reference to best practices, control frameworks or standards does not in itself constitute formal certification or binding legal advice.
Accordingly, the client must independently validate the legal, tax, regulatory, technical and contractual sufficiency of any recommendation before implementing significant changes.
Yaripo Academy, courses and digital content
Personal access, limited use and traceabilityCourses, classes, workshops, labs, assessments, private certifications, videos, templates, presentations, repositories, downloadable materials and other educational content offered by Yaripo Academy are available for personal, limited and non-transferable access, unless Yaripo expressly authorises a different arrangement.
- Users may not share credentials, sublicence access, redistribute materials, record protected content or repurpose it to deliver training to third parties without written authorisation.
- Yaripo may record access metrics, progress, attendance, results and platform activity for operational, academic, support, audit and certification purposes.
- Issuance of private certificates is subject to meeting the completion criteria stated for each programme.
Intellectual property
Protection of brand, content, software and know-howAll rights in the site, its design, structure, interface, texts, branding, documentation, methodologies, demos, graphic assets, code, prompts, software, models, algorithms, taxonomies, proprietary datasets, educational materials and other intellectual assets associated with Yaripo belong to Yaripo SpA or its licensors, and are protected by applicable intellectual property law.
- No ownership of such assets is granted to the user merely by using the site.
- Copying, reproduction, adaptation, translation, decompilation, reverse engineering, extraction of know-how or creation of unauthorised derivative works is prohibited.
- Unless agreed in writing, the delivery of proposals, demos, pilots, workshops or commercial materials does not transfer proprietary rights over Yaripo's tools, frameworks or base components.
Client operational data or client-owned content will remain the client's property, without prejudice to the limited usage permissions the client authorises or those necessary to deliver the service.
Data, inputs and limited licence of use
Operational permission without appropriation of client contentThe user retains ownership of the information, documents, prompts, datasets, configurations, inputs, queries, files or other content they provide to Yaripo through the site, forms, demos, pilots, platforms or services.
Notwithstanding the above, the user grants Yaripo a non-exclusive, limited, revocable to the extent compatible with the service, and royalty-free licence to use such information exclusively to the extent necessary to:
- provide the requested services or enable contracted functionalities;
- operate, maintain, protect, diagnose, support and technically improve its services;
- fulfil legal, regulatory, audit or security obligations;
- generate metrics, analytics, benchmarking or internal improvements on aggregated, statistical or anonymised bases, where applicable.
The user represents that they hold sufficient rights over the information they provide and that providing it to Yaripo does not infringe third-party rights or violate applicable law.
Personal data protection
Processing, legal bases and reference to specific policyThe processing of personal data through the site, forms, commercial processes or Yaripo platforms shall be governed by the current Privacy Policy , which forms a complementary part of this legal framework.
Yaripo declares that it will process personal data in a manner compatible with applicable law, including GDPR and applicable data protection regulations, and, where the context of operations or recipients requires it, with relevant international privacy standards applicable to the specific case.
- Data may be used for commercial contact, opportunity evaluation, onboarding, service delivery, support, security, invoicing, compliance and operational improvement.
- Data subjects may exercise the rights recognised by applicable law through the channels indicated in the Privacy Policy.
- Where the service requires it, Yaripo may rely on processors or sub-processors subject to confidentiality and security obligations.
Cookies, analytics and similar technologies
Measurement, experience improvement and preference managementThe site may use first-party and third-party cookies and similar technologies for technical, security, measurement, personalisation, maintenance, traffic analytics and experience improvement purposes.
- This may include web analytics tools, conversion measurement and performance diagnostics.

Limitation of liability
Maximum extent permitted by lawTo the maximum extent permitted by applicable law, Yaripo shall not be liable for indirect, special, incidental, punitive or consequential damages, including without limitation:
- loss of profits, loss of revenue, loss of opportunity or reputational loss;
- loss, corruption or unavailability of data attributable to factors outside Yaripo's reasonable control;
- decisions made by the user or client based on analysis, recommendations, outputs, predictions or suggestions generated by AI or consulting;
- damage resulting from integrations, external providers, third parties, client infrastructure or non-compliant use of the service.
Availability, warranties and disclaimers
Service provided “as-is” and “as-available”Unless Yaripo has expressly assumed different obligations in a specific contract, the site, its content and features are provided “as-is” and “as-available” .
- Yaripo does not guarantee uninterrupted availability, total absence of errors, universal compatibility with all user infrastructure, or fitness for a specific purpose not expressly stated and accepted.
- Maintenance, updates, interruptions, architectural changes, improvements, partial suspensions or discontinuation of components may occur.
- Information published on the site is primarily informational and commercial in nature, unless otherwise expressly indicated.
Electronic communications
Commercial, operational and legal contactBy completing forms, registering, requesting contact, enrolling in programmes, contracting or interacting with Yaripo through the site, the user authorises Yaripo to send communications by electronic or telephone means related to:
- responses to requests, proposals or quotes;
- onboarding, support, operational continuity and service management;
- relevant updates on products, content or events related to the expressed interest;
- legal, administrative or security notices.
Users may manage their commercial communication preferences where required by applicable law.
Modifications to the site and these Terms
Service evolution and legal framework updatesYaripo may, at any time and at its reasonable sole discretion, modify, update, supplement or replace these Terms, as well as add, suspend, limit or discontinue features, content, products or sections of the site.
- Modifications shall take effect from the date of publication, unless a different date is specified.
- Continued use of the site after publication of changes shall constitute acceptance of the current version.
- If the user disagrees with a modification, they must stop using the site and its features.
Applicable law and jurisdiction
Chilean base, without prejudice to international contractsThese Terms shall be governed by and construed in accordance with the laws of the Republic of Chile.
For disputes specifically related to the use of the site and in the absence of a different agreement, the parties submit to the jurisdiction of the ordinary courts of justice sitting in Santiago, Chile.
Severability and non-waiver
Preservation of partial validityIf any provision of these Terms is declared invalid, inapplicable or unenforceable, that circumstance shall not affect the validity of the remaining provisions, which shall continue in force to the maximum extent permitted by law.
Yaripo's failure to immediately exercise a right shall not constitute a waiver of that right or prevent its subsequent exercise.
